Terms of Service

Proxima organizes public SEC filings into structured, searchable executive compensation data. The Service is provided strictly as an informational and analytical research tool. Proxima is not a broker-dealer, investment adviser, law firm, or accounting firm, and nothing in the Service constitutes investment, legal, tax, or accounting advice, or a recommendation to buy, sell, or hold any security.

You are solely responsible for any decisions you make based on information obtained through the Service, and you should consult your own qualified professional advisers before acting on it.

Use of the Service does not create a fiduciary, advisory, or agency relationship between you and Proxima. We do not act as your investment adviser or fiduciary in any respect, and we owe you no fiduciary duty in connection with your use of the Service.

Data in the Service is derived from filings made with the SEC and other public sources, processed using a combination of automated parsing and machine-assisted interpretation. Proxy statements and other filings are sometimes ambiguous, inconsistently formatted, restated, or amended after the fact, and our extraction and analysis processes, though carefully built, can contain errors.

THE SERVICE AND ALL DATA MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS FOR A PARTICULAR PURPOSE. Always verify any figure that matters to you against the underlying filing, which the Service links to where available.

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at aspoerl@gmail.com if you suspect unauthorized use of your account.

You agree not to: (a) use the Service in violation of applicable law; (b) attempt to gain unauthorized access to the Service or any related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) use the Service to build or supplement a database or product that competes with Proxima; or (e) misrepresent data obtained from the Service as your own original research without appropriate attribution.

Except as expressly permitted through features we make available in the Service (such as an authorized export function, if offered), you may not scrape, crawl, harvest, or use automated means to extract data from the Service, and you may not bulk-export, republish, resell, sublicense, or otherwise redistribute Service data — in raw or aggregated form — to any third party without our prior written consent.

This restriction applies regardless of the underlying data's public availability from the SEC, because it protects the structuring, extraction, and analysis work Proxima performs on top of that public record.

The Service, including its software, design, extraction methodology, and any original analysis, commentary, or derived datasets, is owned by Proxima and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own internal research purposes. The underlying facts contained in public SEC filings remain public record and are not owned by Proxima.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROXIMA AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT OF FEES YOU PAID TO PROXIMA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE PAID US NOTHING. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination — including Sections 3, 6, 7, 8, and 10 — will survive.

These Terms are governed by the laws of [STATE — to be confirmed by counsel], without regard to its conflict-of-laws principles, and any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located there.

We may revise these Terms from time to time. If we make material changes, we will update the effective date below and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
